Thank you for using our platforms. These Terms of Service (“Terms”) are a binding legal agreement between you and SocialWell Technologies Pvt Ltd (“SocialWell”) that govern your right to use the websites, applications, and other offerings from SocialWell. SocialWell maintains and operates the following digital platforms: NGOMIS, SMEBoard, FPOSoft, CollegeMIS, and AI4Library.

1. DEFINITIONS

“Agreement” means these General Terms and all materials referred or linked to in here, unless otherwise stated.

“Customer Data” means all information that you submit or collect via the Subscription Service.

“Subscription Service” means all of our web-based applications, tools and platforms that you have subscribed to or that we otherwise make available to you.

2. USE OF SERVICES

2.1 Access: During the Subscription Term, we will provide the Customers (and their Users) access to use the Subscription Service as described in this Agreement.

2.2 Limits: The limits that apply to you will be specified in your Order Form or within the product itself. You must be 18 years of age or older to use the Subscription Service.

2.3 Prohibited and Unauthorized Use: You will not use the Subscription Service in any way that is unlawful or prohibited by this Agreement.

3. FEES

Subscription Fees will remain fixed during the initial term of your subscription unless you exceed your limits or upgrade products. All fees are exclusive of taxes, which we will charge as applicable.

4. CUSTOMER DATA

You own and retain all rights to the Customer Data. We will use Customer Data only in order to provide the Subscription Service and as permitted by applicable law and this Agreement.

5. INTELLECTUAL PROPERTY

We retain all intellectual property rights to our Content and the Subscription Service. You agree not to copy, rent, lease, or distribute the content or service without prior written permission.

6. DISCLAIMERS; LIMITATION OF LIABILITY

The Subscription Service is provided “as is” without warranty of any kind. To the extent permitted by law, in no event will either party be liable for any indirect, incidental, or consequential damages.
